1. Parties and Platform Role
This Marketplace Platform Agreement is between each User and Completa LLC d/b/a Completa.
Completa operates the Completa marketplace and provides account, project, payment, communication, documentation, and support tools. Completa is a technology platform. It is not the contractor, general contractor, construction manager, employer, escrow agent, trustee, insurer, court, or workmanship guarantor. The actual work is performed by independent contractor businesses under a signed Project SOW or SOW-Lite/Service Order.
For contractor service payments processed through the platform, Contractor appoints Completa LLC as Contractor's limited payment-collection agent solely to collect and process customer payments owed to Contractor.
2. Incorporated Documents
This Marketplace Platform Agreement incorporates the documents shown in the legal packet for the applicable flow. Later project, payment, payout, change-order, privacy, statutory, or contractor-onboarding terms control the specific subject matter they cover.
3. Service Area
Completa projects are currently available only for Texas project addresses unless Completa expressly opens another jurisdiction. Customers may not request, and contractors may not accept or perform, projects outside approved service areas through Completa.
4. Transaction Structure
Account signup does not create a project commitment, final project price, payment obligation, contractor work obligation, or contractor payout right. A paid project becomes active only after the required project-specific SOW or SOW-Lite/Service Order, payment authorization, contractor acceptance, verification gates, and funding conditions are complete.
Completa may recommend, rank, shortlist, present, or match contractors. Completa does not classify or treat contractors as employees or agents of Completa.
5. Payments and Fees
Completa is not an escrow agent and platform payments are not trust funds or an escrow account. Before a project, payout, or payment action becomes binding, the applicable screen or document must show the material project price, customer-facing fees, contractor-facing fees or deductions, reserves or holds, processing-fee treatment, taxes, refund terms, payout timing, and payment conditions that apply to that transaction.
6. Platform Records and Legal Versions
Completa records electronic acceptances, SOW signatures, payment authorizations, change orders, dispute decisions, warranty claims, and material policy reacceptances with the document version, acceptance time, user identity, project reference where applicable, and technical records needed to verify the acceptance.
Material changes to core legal terms require reacceptance before future transactional use where required. Users who have not reaccepted may keep record access, downloads, support, privacy requests, refunds, disputes, and warranty access, but may be blocked from new estimates, new projects, uploads, payments, SOWs, contractor work, and Completa Connect transactions until required terms are accepted.
